MEDURA DOES NOT REPLACE YOUR RELATIONSHIP WITH YOUR PHYSICIAN OR OTHER HEALTHCARE PROVIDER. THE SERVICES MAY NOT BE APPROPRIATE FOR ALL MEDICAL CONDITIONS OR CONCERNS. Introduction
STR Enterprise LLC ("Medura," "we," "us," or "our"), a Wyoming limited liability company, together with its affiliates, owns and operates the website located at https://medurahealth.com and any related websites, applications, software, mobile applications, and services (collectively, the "Sites").
The Sites facilitate access to various services, including but not limited to: Health and wellness information, Pharmacy coordination services, Health record development and management, Administrative support for scheduling and payments, Telecommunications support for access to healthcare providers, Wellness products and services, and Telehealth-related support services.
These Terms of Use describe your rights and responsibilities regarding the Sites and Services. Your access to and use of the Sites are subject to these Terms of Use, our Privacy Policy, and all applicable laws. If you do not agree to these Terms of Use, you must immediately discontinue use of the Sites and Services.
No Medical Advice
Information provided through the Sites is for informational and educational purposes only and is not intended to constitute medical advice, diagnosis, or treatment.
Always seek the advice of your physician or another qualified healthcare provider regarding any medical condition or treatment decision.
Never disregard professional medical advice or delay seeking treatment because of information obtained through the Sites.
Reliance on any information provided through the Sites is solely at your own risk.
Availability
Certain Services are only available to individuals located in states where Medura and its affiliated healthcare providers are authorized to provide Services.
Availability may change at any time without notice.
Medura makes no representation that the Services are appropriate or available in every jurisdiction.
Eligibility
To use the Services, you must: Be at least eighteen (18) years of age, be physically located in a state where Medura's Services are available at the time you access or use the Services, have the legal capacity to enter into binding agreements, and agree to be legally bound by these Terms of Use.
Meeting these requirements does not guarantee eligibility for any particular service, consultation, prescription, treatment plan, healthcare recommendation, or product.
Healthcare providers maintain sole discretion regarding clinical decisions and treatment recommendations.
Requirements for Use
You must have compatible devices, Internet access, and any required software necessary to access and use the Sites.
Standard carrier, messaging, and data charges may apply.
You are solely responsible for obtaining and maintaining any equipment or services necessary to access the Sites.
Special Consent to Telehealth Services
Telemedicine involves the delivery of healthcare services using electronic communications between a healthcare provider and a patient who are not located in the same physical location.
Telemedicine services may include: Electronic transmission of medical records and personal health information, Interactions through audio, video, text, messaging, and/or data communications, Use of information generated from medical devices, images, audio recordings, questionnaires, and video files, and Remote monitoring and assessment technologies.
Telemedicine has potential benefits, including improved access to care and convenience. Telemedicine also carries risks, including technical failures, interruptions, unauthorized access to information, and limitations associated with the absence of an in-person examination.
Please review our Telehealth Consent, which is incorporated into these Terms of Use by reference and describes the risks and benefits associated with telemedicine services.
Privacy Policy
Medura understands the importance of confidentiality and privacy regarding your personal and health information.
Please review our Privacy Policy, available on the Sites, for details regarding how we collect, use, disclose, retain, and safeguard your information.
The Privacy Policy is incorporated into these Terms of Use by reference.
Your Relationship with Medura
Medura is a healthcare technology and administrative services platform.
Medura does not itself practice medicine, provide medical care, diagnose conditions, prescribe medications, or determine treatment plans.
Medura facilitates access to healthcare providers, pharmacies, laboratories, and affiliated professional entities that may provide healthcare-related services.
The health and wellness resources available through the Services are not substitutes for in-person healthcare services in all circumstances.
By consulting with a healthcare provider through the Services, you acknowledge and agree that you are entering into a provider-patient relationship with that healthcare provider or affiliated professional entity, and not with Medura.
Healthcare providers are solely responsible for medical judgment, diagnosis, treatment recommendations, prescribing decisions, and patient care.
By accepting these Terms of Use, you consent to receiving disclosures, notices, messages, updates, reminders, and other communications from Medura, its affiliates, healthcare providers, pharmacies, laboratories, and service providers.
You acknowledge that failure to review such communications may impact your care, treatment, prescriptions, orders, or use of the Services.
Communications by Text Message and Email
By providing your contact information and opting in where required, you consent to receive communications from Medura by email, telephone, and text message.
Communications may include: Appointment reminders, Prescription updates, Order confirmations, Shipping notifications, Account notices, Service announcements, Customer support communications, and Promotional communications where you have expressly opted in.
Consent to receive marketing text messages is not a condition of purchasing any goods or services.
Message and data rates may apply. You may opt out of marketing text messages at any time by replying STOP.
Text messages and emails may not always be encrypted. Electronic communications may involve some level of risk.

Consultative Services
Healthcare providers consulting with you through the Services may not have access to information typically available through an in-person examination.
Medura strongly encourages you to provide complete, accurate, and current information and to discuss all diagnosis and treatment options with your healthcare provider.
By using the Services, you acknowledge and agree that: any diagnosis may be limited or provisional, the Services are not intended to replace a comprehensive in-person medical evaluation in all cases, healthcare providers may not have access to information that would ordinarily be obtained through a physical examination, and the absence of a physical examination may affect a provider's ability to diagnose or treat certain conditions.
Site Content
Except for specific communications from healthcare providers, none of the content available on the Sites should be considered medical advice, diagnosis, treatment recommendations, or professional healthcare services.
Registration and User Accounts
You may be required to register an account to access certain Services.
You agree to provide accurate, current, and complete information and to update such information as necessary.
You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.
You may not share your password, transfer your account, or create multiple accounts without authorization.
Notify Medura immediately of any unauthorized use of your account by contacting support@medurahealth.com.
Medura reserves the right to suspend, restrict, or terminate accounts at its discretion.
Jailbreaking or Modifying Device Operating Systems
Use of the Sites or applications on devices with modified, rooted, or jailbroken operating systems may compromise security and protected information. It may constitute a material breach of these Terms of Use.
Access Rights and Prohibited Use
Medura grants you a personal, limited, revocable, non-exclusive, and non-transferable right to access and use the Sites solely for personal, non-commercial purposes.
You agree not to: impersonate any person or entity, violate any applicable law, reverse engineer, decompile, or disassemble software, transmit viruses, malware, or harmful code, infringe intellectual property rights, commercially exploit the Sites or Services, create competing products or services, interfere with or disrupt the Sites, gain unauthorized access to systems or data, circumvent security measures, remove proprietary notices, copy, reproduce, distribute, modify, or create derivative works without authorization, or encourage, facilitate, or assist others in engaging in prohibited activities.
Ownership of Information Submitted Via the Sites
Except as otherwise described in our Privacy Policy, any feedback, suggestions, ideas, reviews, comments, or other non-medical submissions voluntarily provided to Medura may be used, reproduced, modified, distributed, displayed, published, and otherwise exploited by Medura without restriction or compensation.
Personal information, health information, and protected information will be handled in accordance with our Privacy Policy and applicable law.
Ownership of Site Content
Medura and its licensors own all rights, title, and interest in and to the Sites, including all content, features, functionality, software, graphics, text, trademarks, logos, service marks, audiovisual materials, and intellectual property rights.
Nothing in these Terms transfers ownership rights to you.
Except as expressly authorized by these Terms, you may not reproduce, distribute, modify, display, publish, transmit, create derivative works from, or exploit any Site content.
Trademarks
The names, logos, trademarks, service marks, trade names, branding, and other identifiers displayed on the Sites are the property of Medura or their respective owners.
You may not use any such marks without prior written consent from the applicable owner.
Nothing contained in the Sites grants any license or right to use any trademark without written authorization.

The Sites may contain links to third-party websites, services, applications, products, or resources.
Medura does not control and is not responsible for the content, policies, security, practices, availability, or accuracy of any third-party website or service.
The inclusion of any link does not imply endorsement, sponsorship, or affiliation.
Your use of third-party websites is at your own risk.
Termination
Medura may suspend, restrict, or terminate your access to the Sites or Services at any time, with or without notice, if: You violate these Terms of Use, we believe your conduct may expose Medura or others to liability, we are required to do so by law, we discontinue the Services, or we otherwise determine that termination is appropriate.
Upon termination, your right to access and use the Sites and Services shall immediately cease.
Termination does not affect any rights, obligations, or liabilities accrued before termination.
Disclaimer of Warranties
THE SITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDURA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SECURITY, ACCURACY, RELIABILITY, AVAILABILITY, QUIET ENJOYMENT, and FREEDOM FROM VIRUSES OR MALICIOUS CODE.
MEDURA DOES NOT WARRANT THAT: THE SITES WILL OPERATE WITHOUT INTERRUPTION, THE SERVICES WILL BE ERROR-FREE, DEFECTS WILL BE CORRECTED, THE SITES WILL BE SECURE, or INFORMATION PROVIDED THROUGH THE SITES WILL ALWAYS BE ACCURATE OR COMPLETE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDURA, ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY: INDIRECT DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, CONSEQUENTIAL DAMAGES, EXEMPLARY DAMAGES, PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF DATA, LOSS OF GOODWILL, or BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITES OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN JURISDICTIONS THAT DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY.
Indemnification
You agree to indemnify, defend, and hold harmless Medura, its affiliates, officers, directors, members, employees, contractors, licensors, suppliers, service providers, and agents from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: Your use of the Sites or Services, Your violation of these Terms of Use, Your violation of applicable law, Information you submit through the Services, or Your infringement of any rights of another party.
Medura reserves the right to assume exclusive control of any matter subject to indemnification.
Modifications to the Sites
Medura reserves the right to modify, update, suspend, discontinue, or remove any aspect of the Sites or Services at any time without prior notice.
Medura shall not be liable for any modification, suspension, or discontinuation of the Sites or Services.
Force Majeure
Medura shall not be liable for any delay, interruption, or failure in performance resulting from causes beyond its reasonable control, including: Acts of God, Natural disasters, Severe weather events, Fires, Floods, Earthquakes, Internet outages, Telecommunications failures, Cyberattacks, Labor disputes, Government actions, Public health emergencies, Pandemics, Supply chain disruptions, or Failures of third-party providers.
Pharmacy Services
If you receive a prescription through the Services, you may select a participating pharmacy to fulfill and ship your prescription.
You authorize Medura to share information necessary to facilitate pharmacy services, prescription fulfillment, payment processing, and related healthcare operations.
All prescription decisions are made solely by licensed healthcare providers.
Pharmacies are solely responsible for dispensing medications.
Medura does not manufacture, dispense, prescribe, or distribute prescription medications.
Certain medications may not be shipped in child-resistant packaging as permitted by applicable law.
Patients should keep all medications out of the reach of children.
Payment
You agree to pay all applicable fees associated with Services requested through the Sites.
By submitting payment information, you authorize Medura and its payment processors to charge the amounts due.
You represent that you are authorized to use the payment method provided.
Unless otherwise expressly stated, all fees are charged in U.S. dollars.
All fees are non-refundable except where required by applicable law or expressly stated otherwise by Medura.
Medura reserves the right to modify pricing at any time.
Special Notice to Medicare and Medicaid Beneficiaries
Federal and state healthcare programs, such as Medicare and Medicaid, generally do not cover certain services or products offered through the Services.
You agree to pay directly for services and products provided through the Services. Coverage and reimbursement eligibility are determined solely by the applicable government program and not by Medura.
Medura does not guarantee eligibility, reimbursement, or coverage under any government-sponsored healthcare program.
Governing Law; Dispute Resolution; Arbitration
PLEASE READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES YOU AND MEDURA TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION.
These Terms of Use, the Sites, and the Services shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Sites, the Services, communications between you and Medura, or any products or services provided through the Sites shall be resolved exclusively through final and binding arbitration.
Arbitration shall be conducted in Clark County, Nevada, under the rules of the American Arbitration Association ("AAA") then in effect.
The arbitration shall be conducted before a single arbitrator.
The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, and formation of this arbitration provision.
You and Medura agree that: Arbitration shall be conducted only on an individual basis, Class actions and class arbitrations are prohibited, Representative actions are prohibited, and Consolidated actions are prohibited.
You and Medura each waive any right to a jury trial.
Notwithstanding the foregoing, either party may seek temporary, preliminary, or permanent injunctive relief relating to intellectual property rights, confidentiality obligations, or unauthorized use of the Services in any court of competent jurisdiction.
If any portion of this arbitration provision is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver
Failure by Medura to enforce any provision of these Terms of Use shall not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of Medura.
No Agency Relationship
Nothing contained in these Terms of Use shall be construed to create any partnership, joint venture, employment relationship, agency relationship, franchise relationship, or fiduciary relationship between you and Medura.
You have no authority to bind Medura in any manner.
Remedies
Any violation of these Terms of Use may cause irreparable harm to Medura for which monetary damages may be inadequate.
Accordingly, Medura may seek injunctive relief, equitable relief, specific performance, or any other remedy available at law or equity without the necessity of posting bond or proving actual damages.
Such remedies are cumulative and not exclusive.
Assignment
You may not assign, transfer, delegate, or otherwise convey any rights or obligations under these Terms of Use without Medura's prior written consent.
Any attempted assignment in violation of this provision shall be void.
Medura may assign, transfer, or delegate its rights and obligations under these Terms of Use at any time without restriction.
Entire Agreement
These Terms of Use, together with our Privacy Policy and Telehealth Consent, constitute the entire agreement between you and Medura regarding the Sites and Services.
These Terms supersede all prior agreements, understandings, and negotiations, whether written or oral.
Severability
If any provision of these Terms of Use is determined to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
